You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as incidental to normal web browsing or as expressly permitted in these Terms.
6. User Content
The RevJudge Service may allow you to submit, post, or otherwise make available content, including reviews, comments, feedback, suggestions, and other materials ("User Content"). 7. Disclaimers
THE REVJUDGE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. REVJUDGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
RevJudge does not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. RevJudge does not warrant or make any representations regarding the use or the results of the use of the Service in terms of accuracy, reliability, or otherwise. You understand and agree that any material or data downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of such material or data.
RevJudge makes no warranty regarding any goods or services purchased or obtained through the Service or any transactions entered into through the Service. No advice or information, whether oral or written, obtained by you from RevJudge or through the Service shall create any warranty not expressly stated in these Terms.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REVJUDGE, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL THE TOTAL LIABILITY OF REVJUDGE TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO REVJUDGE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. In such jurisdictions, RevJudge's liability will be limited to the greatest extent permitted by law.
9. Indemnification
You agree to defend, indemnify, and hold harmless RevJudge, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.
RevJudge reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with RevJudge in asserting any available defenses. This indemnification obligation will survive the termination of these Terms and your use of the Service.
10. Termination
RevJudge may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease, and any data associated with your account may be deleted.
You may terminate your account at any time by contacting RevJudge or by using the account termination features available through the Service. All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
If you wish to terminate your account, you may simply discontinue using the Service and contact us to request account deletion. RevJudge is not responsible for any loss or damage that may result from termination of your account or access to the Service.
11. Governing Law and Dispute Resolution
These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal or state courts located in California, and you consent to the personal jurisdiction of such courts.
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
If any dispute arises between you and RevJudge, we encourage you to first contact us directly to seek a resolution. We will attempt to resolve disputes in good faith. If a dispute cannot be resolved through direct communication, either party may pursue resolution through the courts as specified above.
12. Changes to Terms
RevJudge reserves the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will provide notice by posting the updated Terms on revJudge.com and updating the "Last Updated" date at the top of these Terms. We may also notify you through other means such as email or through a notice on our Service homepage.
Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service. It is your responsibility to review these Terms periodically for any changes.
The most current version of these Terms will always be available on our website at revJudge.com. We encourage you to review these Terms regularly to stay informed about your rights and obligations.
13. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent, or if such modification is not possible, such provision shall be severed from these Terms. The validity, legality, and enforceability of the remaining provisions shall not be affected or impaired in any way.
14. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or agreements published by RevJudge on the Service, constitute the entire agreement between you and RevJudge concerning the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
